Terms and Conditions for Vette

Welcome to Vette! These Terms and Conditions ("Terms") govern your use of the Vette software solution ("Service"). By accessing or using our Service, you agree to comply with these Terms.

1. Definitions

  • "Vette" refers to the software solution that enables businesses to perform AI-powered analysis of their vendors or products against specific security and privacy requirements.
  • "User" refers to any individual or entity that accesses or uses the Service.
  • "User Data" refers to any documents, requirements, or information uploaded to the platform by the User.
  • "Third-Party Services" are external services integrated into Vette.

2. Description of Service

Vette provides an AI-driven platform to help users analyze vendor security and privacy documentation and data. The Service evaluates documents provided by the User alongside publicly available information about the vendor to generate objective insights and streamline assessments. While our AI helps automate the process, the Platform includes review tools so that Users can independently verify all findings. Vette is an evaluative aid; the User is responsible for reviewing the accuracy of all data and making their own final risk and procurement decisions.

3. User Responsibilities

  • Rights to data: Users must ensure they have the necessary rights, permissions, and legal basis to upload documentation to Vette.
  • Confidentiality: Users are responsible for maintaining the confidentiality of their login credentials.
  • Sensitive information: Users are responsible for ensuring that market-sensitive or highly confidential information is handled in accordance with their own internal guidelines and applicable laws.
  • Acceptable use: Users agree not to upload content that is illegal, infringes on intellectual property rights, or contains malicious code.

4. Use of Third-Party Services

The Service utilizes various Third-Party Services (such as Google Cloud, Anthropic and Mistral) to deliver our service. While we carefully select our partners, Vette does not control these external services. A current list of sub-processors is available upon request.

By using Vette, you acknowledge and accept the role of third-party services in delivering our Service. A current list of subprocessors can be found here. Vette reserves the right to make changes related to third-party providers, including introducing new providers, replacing existing ones, or modifying the scope of their services. In the event of such changes, Vette will notify users via the platform or other appropriate communication channels.

Vette does not disclose user data to third parties outside of these service providers, and only to the extent necessary to operate the Service. Vette does not resell or share your data for commercial purposes.

5. Data Ownership and Use

  • Ownership: The User retains all ownership rights to User Data. Vette claims no ownership over the documents or requirements you upload.
  • Authorized use of reports: Reports and analysis provided through the Service are intended for the exclusive internal use of the User. The User retains a limited right to use and store such output for internal evaluation and record-keeping but is prohibited from reselling, sublicensing, or publicly disclosing the output or any portion thereof.
  • AI training policy: Vette does not sell User Data to third parties. Furthermore, Vette does not use User Data to train or improve the foundational AI models of our third-party providers.
  • Usage data: Vette may use de-identified, aggregated metadata (e.g., usage patterns) to improve platform performance and security.

6. Payment and Subscription

  • Fees: Fees are customized per customer and invoiced based on your specific agreement or order form. Users agree to pay all fees as specified.
  • Payment Terms: Unless otherwise agreed in writing, all invoices are due Net 14 days from the invoice date.
  • Suspension: Vette reserves the right to suspend access to the Service if payments are significantly overdue. We will provide a 14-day grace period and written notice before any such suspension.

7. Limitation of Liability

  • AI accuracy: The User acknowledges that the Service utilizes artificial intelligence, which may occasionally produce inaccurate, incomplete, or biased information (often referred to as "hallucinations").
  • Mandatory verification: The Service is an automated aid, not a substitute for professional judgment. Users must use the Platform's review features to verify the accuracy of findings before basing any business decisions on them.
  • No warranty: Vette is provided "as is" without warranties of any kind. Vette is not responsible for inaccuracies in third-party data or public records.
  • Liability: To the maximum extent permitted by law, Vette shall not be liable for any indirect, incidental, or consequential damages (including security breaches at the vendor level) arising from the use of the Service.
  • Public sources: Information from public records or third-party data is beyond Vette's control and may be inaccurate, missing or outdated. Vette is not responsible for errors or omissions resulting from such external source material.

8. Confidential and Sensitive Information

  • Users are responsible for ensuring that confidential or market-sensitive information is handled in accordance with applicable laws and internal guidelines.
  • Vette is not liable for any consequences arising from the disclosure or misuse of such information through use of the Service.

9. Changes to Terms and Change Log

We may update these Terms from time to time. Significant changes will be communicated clearly to users. A change log will be maintained to document what has been changed, when, and how.

Continued use of the Service after changes to the Terms constitutes acceptance of the updated Terms.

10. Termination

  • Users may terminate their account and delete their data at any time.
  • Upon written request prior to deletion, Vette will provide an export of the User's data in a standard format.
  • Vette reserves the right to suspend or terminate accounts that violate these Terms.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and interpreted in accordance with the laws of Norway. Any disputes shall be settled by the courts of Trondheim District Court (Trondheim tingrett) as the exclusive legal venue.
